Terms of Service


1. Key Terms

 

SpaceMate Tech Inc. (referred to as “SpaceMate”, “we”, “us”, or “our”) operates an online platform connecting hosts who offer storage space with renters seeking storage solutions (collectively, the “Services”). In this document, “Service” or “Services” include everything we offer online, such as our website, mobile apps, and customer support. “You” or “your” refers to users of SpaceMate. A “Host” is someone who lists storage space, while a “Renter” is someone who rents it. “Space” refers to the area offered for storage. A “Listing” describes a Host’s space on our platform. “Stored Items” are the belongings stored by Renters. A “Booking” is a confirmed transaction between a Host and Renter. A “Member” is anyone with a SpaceMate account.“Content” covers text, images, videos, and more. 

 

2. Terms Relating to Service

 

2.1 SpaceMate's Responsibilities: SpaceMate provides an online platform connecting Hosts offering storage space with Renters seeking storage solutions. We are not property owners, real estate brokers, insurers, or escrow agents. Our role is to facilitate the availability of the platform. We do not control Hosts', Renters', or other users' conduct and disclaim any liability.

 

2.2 Agreement To Terms: By using the Site, Mobile app or Services, you agree to these Terms of Service (“Terms”). These Terms govern your access to and use of the Site and content, forming a binding legal agreement between you and SpaceMate. Failure to comply may result in being banned from the site and subject to legal penalties.

 

2.3 Host And Renter Agreements: SpaceMate is not a party to agreements between Hosts and Renters unless required by these Terms. Written agreements between Hosts and Renters take precedence over conflicting terms herein concerning their rights and obligations. Such agreements do not affect SpaceMate's rights or obligations, including payment processing and assisting with Renters' defaults.

 

2.4 Know Your Legal Obligations: You are responsible for understanding and complying with any laws or regulations related to space rental and use, including permits or licenses. SpaceMate does not provide legal advice; seek legal counsel if unsure about legal requirements.

 

2.5 Listing Content And Space Suitability: SpaceMate does not control Listing content or space conditions, legality, or suitability. We disclaim liability for Listing content or space suitability.

  

2.6 Age Requirement: The Site is for users 18 years or older. Access or use by anyone under 18 is prohibited.

 

3. Listings

 

3.1 Creating Listings: As a Member, you can create Listings. You'll provide details about your Space, like location, images, size, features, and pricing. Your Space must have a valid physical address to be listed. These Listings will be publicly available for booking by other Members.

 

3.2 Host's Responsibility: You're responsible for all Listings you post. By posting a Listing, you confirm that it won't violate any agreements with third parties, you have the right to rent the Space, and it complies with all applicable laws and regulations. SpaceMate doesn't verify a Host's compliance with laws.

 

3.3 Host Requirements: When creating a Listing, you can set requirements for Members booking your Space, such as having a profile picture or verified phone number. Renters and their guests must comply with these requirements.

 

3.4 Accuracy of Space Description: Hosts must provide accurate descriptions of their Spaces in Listings. If a Space doesn't match its description, Renters may refuse to rent it. However, once items are stored in the Space, Renters confirm acceptance of the Booking and its accuracy.

 

3.5 SpaceMate's Right to Remove Listings: SpaceMate may remove or disable access to any Listing at any time without notice if it's objectionable, violates these Terms, or is harmful to the community or the platform.

 

3.6 Host's Responsibility for Actions: Hosts are responsible for their actions and those of anyone at the Space with their permission, excluding the Renter and their guests. Hosts must use existing security features to protect stored items. If SpaceMate incurs expenses due to Host negligence or damage to stored items, Hosts must compensate SpaceMate.

 

3.7 Taxes: Each Host is responsible for determining and reporting their applicable taxes. SpaceMate doesn't offer tax advice. Hosts must determine local taxes and include them in Listings. SpaceMate isn't responsible for notifying, collecting, or paying taxes on behalf of Hosts.

 

3.8 Payments Through SpaceMate: All transactions related to Space rentals must be conducted through the SpaceMate platform. Hosts and Renters must not make or accept direct payments outside the platform. Violations may result in account cancellation and liability for fees. Any disputes regarding direct payments are solely between Hosts and Renters, with SpaceMate not involved. 

 

4. Insurance

 

SpaceMate doesn't offer insurance to Hosts or Renters. It's the responsibility of Hosts and Renters to obtain their own insurance to cover any damages to their property or stored items. SpaceMate doesn't provide insurance for stored items, and DOES NOT OFFER INSURANCE COVERAGE. Renters are encouraged to purchase insurance for their stored items from available insurers or consider an appropriate property protection plan. 

 

It's crucial for both hosts and renters to be transparent with their insurance providers about their use of the platform to ensure they have the appropriate coverage. If disputes arise, they may need to consult with legal professionals to navigate the complexities of insurance claims and coverage. Additionally, insurance policies can vary widely, so the details should be carefully reviewed.

  

5. Fees

 

Creating a listing on SpaceMate is free. Each listing will include a rental fee set by the host, which is payable to the host. Renters will be charged an additional 15% Service Fee plus Stripe’s payment processing fee, on top of the host's designated rental price. All fees, including Service Fees and Processing Fees, are non-refundable unless otherwise stated.

 

6. Renter Disclosures

 

When booking a Space, Renters agree to disclose all items they intend to store, including any Protected Property such as personal documents, alcoholic beverages, pharmaceuticals, or firearms. If storing Protected Property subject to professional regulations in Australia, Renters must provide written notice to the relevant authorities and share this information with SpaceMate and the Host. Renters also agree to disclose any items not owned by them or subject to liens, and to update the Site with any changes to stored items. Both SpaceMate and the Host are not liable for undisclosed items, and Renters accept responsibility for any damage caused by such items. Additionally, Renters must notify SpaceMate if they are active-duty members of the Australian military.

  

7. Renter Access To Space

 

SpaceMate understands the importance of Renter access to Stored Items. Hosts agree to specify access times in the Listing, and in some cases, may offer unlimited access. Renters must contact Host at least 24 hours in advance for access, unless otherwise agreed upon. Hosts are required to provide reasonable access upon request and communicate promptly with Renters. Renters are encouraged to inform Hosts of any anticipated changes that may impact storage terms.

 

8. Renter Move Out Requirements

 

Upon the conclusion of the Booking period, Renters are required to vacate the Space promptly, removing all contents and debris. The Space should be left in good condition. Additional fees may apply for delayed removal of Stored Items. Once all Stored Items are removed and the Space is left in the required condition, and the Booking is canceled in accordance with the Terms below, Renters forfeit any right to access or possess the Space.

  

9. Payment and Refund Policy

 

9.1 For Renters

 

9.1.1. Payment Policy

 

Reservation Fees: Renters are charged the agreed-upon rental fee when the reservation is confirmed. This fee covers the first month’s storage unless otherwise specified.

Recurring Payments: For ongoing reservations, recurring payments are automatically charged monthly until the reservation is ended through the SpaceMate app or website.

Payment Method: Payments are securely processed through Stripe, and renters can use major credit or debit cards.

 

9.1.2. Refund & Cancellation Policy

 

  • If you cancel within 24 hours of approval and at least 24 hours before the start date: 100% of the total fees (excluding the service fee) will be refunded.
  • If you cancel 14 days or more before the start date: 100% of the total fees (excluding the service fee) will be refunded.
  • If you cancel 13 to 7 days before the start date: You will receive a 50% refund (excluding the service fee).
  • No refund will be issued for cancellations made 6 days or less before the start date.

 

9.1.3. Host Cancellation

 

  • If the Host cancels a booking before the Renter stores their items: The renter will receive a full refund.
  • If the Host cancels a booking with less than 30 days’ notice: The renter will receive a full refund (minus service fees) for that month and if there are any remaining months. 

 

9.1.4. Ending Your Reservation

 

To stop recurring payments, you must officially end your reservation through the SpaceMate app or website. Once ended, no further charges will be made.

 

 

9.1.5. Dispute Resolution

 

Issues with Payment or Refunds: For any disputes regarding payments or refunds, contact SpaceMate support within 48 hours. We will investigate and resolve the issue as quickly as possible.

 

9.1.6. Policy Updates

 

Changes: SpaceMate reserves the right to update this policy. Renters will be notified of any changes via the app or website.

 

9.2 For Hosts

 

9.2.1. Payment Policy

 

Payouts: SpaceMate holds the reservation payment until the reservation period is complete on a monthly basis. If the host cancels midway through the reservation, the payment will be refunded to the renter, and the host will receive payment only for the time the space was used. Payouts are processed through Stripe directly to your payment preference.

 

9.2.2. Refund & Cancellation Policy

 

  • If you need to cancel a booking before the renter stores their items: The renter will receive a full refund.
  • If you want to cancel after the renter has stored items: You must provide the renter with at least 30 days’ notice.
  • If you cancel with less than 30 days’ notice: The renter will receive a full refund (minus service fees) for the month that was cancelled. Any remaining months of the reservation will be automatically cancelled without penalty, and you may be charged a $50 termination fee. 
  • Early Termination by Renters: If a renter ends their reservation early, recurring payments will cease on the day the reservation is officially ended through the SpaceMate app or website. Renters pay the rental fee on a monthly basis, and if the reservation is cancelled partway through a paid month (e.g., two weeks in), no refund will be issued to the renter for the unused portion of that month. The host will receive the full payment for the current month.


Future recurring payments will not be charged once the cancellation is processed, and no further charges will occur beyond the month in which the cancellation took place.

 

9.2.3. Cancellations by Renters:

 

  • If a renter cancels 14 days or more before the start date, no payout will be issued for that reservation.
  • If a renter cancels within 24 hours of reservation approval and at least 24 hours before the start date, no payout will be issued for that reservation.
  • If the renter cancels 13 to 7 days before the start date, a 50% payout will be issued for that reservation.
  • If the renter cancels 6 days or less before the start date, you will receive payment for the first month.

 

9.2.4. Dispute Resolution

 

Disputes: Any disputes related to payments or refunds should be reported to SpaceMate support within 48 hours. We will review and assist in resolving the issue fairly.

 

9.2.5. Policy Updates

 

Changes: SpaceMate reserves the right to update this policy. Hosts will be notified of any changes in advance through the SpaceMate app or website.

 

10. Abandoned Items

 

Any items or property left behind by the Renter after a booking has been cancelled or terminated will be considered abandoned. By leaving such items, the Renter forfeits any rights to them. SpaceMate and/or the Host reserve the right to remove and/or dispose of any abandoned items left in the space after a booking has ended. The Renter will be responsible for covering all costs associated with the removal or disposal of such items. By leaving behind abandoned property, the Renter agrees to waive and release any claims or actions against SpaceMate and the Host related to the removal or disposal of these items.

 

11. Damage, Injury, and Theft

 

11.1 Responsibility for Damage: Hosts are accountable for any damages they cause to the Renter's Stored Items. To prevent disagreements, Hosts are advised to document the initial condition of the Stored Items. SpaceMate reserves the right to suspend Host payouts or collect amounts from Hosts in cases of misconduct or damage to Stored Items caused by the Host.

 

Renters are accountable for any damages caused by them or their Stored Items to the Host's property or Space. It is advisable for Renters to document the initial condition of the Host's property and Space to prevent disagreements.

 

11.2 Bodily Harm: Renters acknowledge that using the Space is at their own risk. While Hosts have a duty to protect Stored Items, they are not liable for personal or bodily injury to Renters or their guests unless due to gross negligence or willful misconduct. Renters waive any claims against Hosts for personal injury unless resulting from gross negligence or willful misconduct.

 

11.3 Theft: Hosts are not liable for lost or stolen Stored Items if a police report is filed, and evidence of forcible entry into the Space is found, provided the Host did not contribute to the theft through negligence.

 

12. Use of Space and Restricted Items

 

12.1 Space Usage: By accepting these terms, the Renter agrees not to use the Space for any illegal activities. The Space is meant only for storing personal belongings. Without both the Host and Renter agreeing, the Renter cannot change the Host's property or install cameras. The Renter must follow the Host's instructions on where to store items. Using the Space for anything other than storing personal items is not allowed.

 

12.2 Restricted Items: The storage of the following items is explicitly forbidden (each considered a "Prohibited Item"):

 

  • Explosives, fuel, hazardous, or flammable materials

  • Pesticides or other toxic chemicals

  • Waste of any kind

  • Firearms or ammunition

  • Drugs or any illegal substances or goods

  • Stolen goods or other contraband

  • Perishable food items, spoiled food, living or deceased animals, infested items, or moldy items

  • Any item that emits fumes or a strong odor

  • Boats and other watercraft not properly stored on a trailer

  • Any other items specifically identified by the Host on the listing as expressly prohibited

  • Any other items, the possession, usage, transport, or storage of which may violate applicable laws, rules, or regulations

 

Furthermore, smoking in or around the Space is explicitly prohibited. Living or working in or around the Space by the Renter, including performing maintenance or work on any stored items (e.g., vehicles), is also prohibited. Renters are not permitted to have items mailed to the Space or use the Space as their mailing address.

 

13. Indemnification Clause

  • Both Hosts and Renters agree to indemnify and hold SpaceMate, its affiliates, officers, directors, employees, agents, and partners harmless from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or related to their use of the platform, including but not limited to:

  • Any breach of the terms of service or any other agreements between the parties.

  • Any violation of applicable laws or regulations.

  • Any dispute between Hosts and Renters, including but not limited to disputes over bookings, payments, or property damage.

  • Any third-party claims related to the Host's or Renter's use of the platform.

 

14. Dispute Resolution

  • Any disputes arising between Hosts and Renters shall be resolved through mediation or arbitration, in accordance with the rules of the relevant mediation or arbitration service in Australia. 

  • If mediation or arbitration is unsuccessful, the parties agree to submit to the exclusive jurisdiction of the courts in the state or territory where the dispute arose for the resolution of any disputes. 

  • The costs of mediation or arbitration shall be shared equally between the parties unless otherwise determined by the mediator or arbitrator.

 

15. Governing Law

  • These terms of service shall be governed by and construed in accordance with the laws of the Commonwealth of Australia. 

  • Any disputes arising from these terms or the use of the platform shall be subject to the exclusive jurisdiction of the courts in the state or territory where the dispute arose.

 

16. Severability

  • If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.

  • The invalid or unenforceable provision shall be replaced with a valid and enforceable provision that most closely matches the intent of the original provision.

 

17. Nondiscrimination Policy

SpaceMate is committed to providing a safe, inclusive, and respectful environment for all users of our platform. We do not tolerate discrimination or harassment of any kind, including but not limited to discrimination based on race, ethnicity, nationality, religion, gender, sexual orientation, age, disability, or any other protected characteristic.

 

Prohibited Conduct

 

17.1 Discrimination: Discrimination against any individual or group based on their race, ethnicity, nationality, religion, gender, sexual orientation, age, disability, or any other protected characteristic is strictly prohibited.

 

17.2 Harassment: Harassment, including verbal, physical, or written abuse, threats, intimidation, or any other conduct that creates a hostile or offensive environment, is not tolerated on our platform.

 

17.3 Retaliation: Retaliation against any individual who reports discrimination or harassment, or who participates in an investigation of such reports, is strictly prohibited.

 

Aboriginal and Torres Strait Islander Peoples

SpaceMate acknowledges and respects the rights and cultures of Aboriginal and Torres Strait Islander peoples, the traditional custodians of the land on which we operate. We are committed to promoting understanding, reconciliation, and cooperation with Aboriginal and Torres Strait Islander communities.

 

Reporting Discrimination or Harassment

If you believe you have been subjected to discrimination or harassment on the SpaceMate platform, or if you witness such behaviour, please report it immediately to our support team. We take all reports seriously and will investigate them promptly and impartially.

 

Enforcement

Violations of this Nondiscrimination Policy may result in disciplinary action, including account suspension or termination. We reserve the right to take appropriate action against any user who engages in discriminatory or harassing behaviour, up to and including legal action where applicable.

 

By using the SpaceMate platform, you agree to abide by this Nondiscrimination Policy and to treat all users with respect and dignity. Together, we can create a welcoming and inclusive community where everyone feels valued and safe.

 

18. Changes to Terms

  • SpaceMate reserves the right to update or modify these terms of service at any time.

  • Any changes to the terms will be communicated to users through email or by posting a notice on the platform.

  • Continued use of the platform after the effective date of the updated terms constitutes acceptance of the changes.
